These Terms of Use ("Terms") govern your access to and use of the Wadoozie platform, website, ecosystem, and all related services (collectively, the "Platform"). By accessing or using the Platform, you agree to these Terms.
If you do not agree, do not use the Platform.
1. Overview of the Platform
Wadoozie is a narrative-driven, on-chain attention network. The Platform includes:
- A public-facing experience covering the stream, the network map, the Bus Tracker, mission updates, and the public route across the 48-state Tour
- A participation layer covering rewards, badges, fragment recoveries, missions, and on-chain governance
- A distribution layer covering the Publishers Network, content submissions, and creator payouts
- A token-based participation mechanism powered by $WADZ, an ERC-20 token deployed on Ethereum at 0x8a730da6d4f483917a53072d9a8e5eef4b105d72
The Platform is designed for engagement, participation, and content distribution. It is not a financial service, an investment product, or a regulated trading venue.
2. Eligibility
To use the Platform, you must:
- Be at least 18 years old, or the age of legal majority in your jurisdiction, whichever is greater
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using such services under any applicable law, sanctions regime, or court order
- Not be located in, or a resident of, any jurisdiction where access to the Platform is restricted by applicable law
By using the Platform, you represent and warrant that you meet all eligibility requirements.
3. User Responsibilities
By using the Platform, you agree to:
- Use the Platform only for lawful purposes
- Provide accurate information where required
- Respect other users, the community, and the system
- Refrain from any attempt to manipulate, exploit, or disrupt the Platform
You agree not to:
- Upload harmful, illegal, or misleading content
- Attempt to gain unauthorized access to any system, account, or wallet
- Interfere with Platform operations, infrastructure, or data integrity
- Engage in fraudulent, abusive, or deceptive behavior
- Use the Platform to violate any applicable law or third-party right
Violation of these responsibilities may result in suspension, termination, content removal, or revocation of rewards.
4. Wallets and Blockchain Interaction
The Platform integrates with third-party Web3 wallets — including MetaMask and WalletConnect-compatible wallets — to enable participation in token-based features, fragment claims, publisher payouts, and on-chain governance.
You are solely responsible for your wallet and private keys. Wadoozie does not control, access, or recover user wallets, private keys, or seed phrases. Lost credentials cannot be restored.
By interacting with $WADZ or any on-chain feature of the Platform, you acknowledge:
- All transactions are public and recorded permanently on the Ethereum blockchain
- Blockchain transactions are irreversible — once submitted and confirmed, they cannot be canceled, reversed, or modified by Wadoozie
- The official $WADZ contract is 0x8a730da6d4f483917a53072d9a8e5eef4b105d72. Always verify on Etherscan before sending funds. Wadoozie is not responsible for losses resulting from interaction with unofficial or fraudulent contracts
- Network conditions, gas fees, and Ethereum availability are outside Wadoozie's control
- You bear full responsibility for your on-chain actions
5. $WADZ Token Disclaimer
$WADZ is a participation and utility token within the Wadoozie ecosystem. It exists to reward contribution, coordinate incentives, and reflect standing across the network.
$WADZ is not:
- A security
- An investment contract
- A guarantee of financial return
- A claim on Wadoozie, its team, or any associated entity
- A regulated financial product
Wadoozie makes no promises regarding:
- Token value or price movement
- Market performance
- Future liquidity, exchange listings, or trading availability
- Specific financial outcomes for any holder
Documented protections. $WADZ launches with a 0% buy / 0% sell tax. Contract ownership is renounced post-launch and cannot be modified. The liquidity pool is locked and DAO-governed — no individual or team wallet can move LP tokens, and any change requires a passed on-chain community vote. The team allocation is fully locked for 12 months from launch. These protections are real and verifiable on-chain. They reduce certain risks. They do not eliminate the risk inherent to participating in a token ecosystem.
You acknowledge that participation involving tokens carries risk, and you accept that risk by using the Platform.
6. Rewards, Badges, and Participation
The Platform includes rewards, badges, and participation-based incentives that recognize and reward activity inside the network.
On-chain reward pools. Two on-chain pools fund direct community payouts: the 5% Signal Fragments allocation (49,999,500 $WADZ across 576 fragments) and the 7% Publisher Rewards pool (70,000,000 $WADZ for creator payouts). Distribution from these pools is governed by the rules published in the litepaper and the relevant Platform documentation.
Discretionary mechanics. Badge structures, leaderboard rules, seasonal bounties, multipliers, and other incentive layers are operational features that may be modified, expanded, paused, or retired as the Platform evolves.
Wadoozie reserves the right to:
- Modify reward structures and eligibility rules
- Revoke rewards in cases of abuse, fraud, sybil activity, or violation of these Terms
- Update participation rules with reasonable notice
- Refuse, reverse, or withhold payouts where required to protect the integrity of the network
Rewards are not transferable except where the on-chain mechanism explicitly enables transfer. Approved Publisher Rewards pay to the wallet associated with the approved submission — claims under a different wallet will not be honored.
7. Content and Publisher Submissions
The Platform allows users to submit content through the Publishers Center and other surfaces.
By submitting content, you:
- Grant Wadoozie a non-exclusive, worldwide, royalty-free, sublicensable license to use, host, display, reproduce, modify, distribute, and create derivative works from your content in connection with the Platform, the mission, and related promotional materials
- Confirm that you own the content or hold all necessary rights, licenses, and consents to grant the rights above
- Waive moral rights in your content to the extent permitted by applicable law
- Acknowledge that approved submissions paying out from the on-chain Publisher Rewards pool will pay to the wallet you connected at submission
You may not submit content that:
- Violates copyright, trademark, or other intellectual property rights
- Is harmful, abusive, defamatory, obscene, or misleading
- Contains malware, exploits, or material designed to compromise systems
- Impersonates another person or entity
- Violates any applicable law or these Terms
Wadoozie may, at its discretion:
- Review, approve, reject, or remove submissions
- Investigate suspected violations and act on findings
- Refer abusive content or behavior to relevant authorities
8. Platform Availability
Platform availability is not guaranteed. Wadoozie does not guarantee uninterrupted access, error-free operation, or the continued availability of any feature.
- Features may change, be removed, paused, or updated without prior notice
- The Platform may be temporarily or permanently unavailable due to maintenance, technical issues, third-party failures, or factors outside Wadoozie's control
- Network conditions on Ethereum, including gas prices and congestion, may affect on-chain features
9. Third-Party Services
The Platform links to and integrates with third-party services that are necessary for it to function, including:
- Wallet providers (MetaMask, WalletConnect, and other supported Web3 wallets)
- Social and content distribution platforms used by the Publishers Network
- Analytics and infrastructure providers
- Block explorers and on-chain data services
These services operate under their own terms and privacy policies. Wadoozie is not responsible for their performance, availability, security, or practices.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Wadoozie, its affiliates, contributors, and team members are not liable for:
- Loss of funds resulting from user error, including incorrect transactions, misdirected transfers, or loss of wallet credentials
- Wallet failures, third-party service failures, or losses caused by integrations outside Wadoozie's control
- Market volatility, token value changes, or fluctuations in $WADZ price
- Platform downtime, service interruptions, or feature removal
- Loss of data, content, rewards, or standing
- Any indirect, incidental, consequential, special, or punitive damages, regardless of the legal theory of liability
In no event will Wadoozie's aggregate liability to you exceed the greater of (a) the amount you paid directly to Wadoozie in the twelve months preceding the claim, or (b) one hundred U.S. dollars (USD $100).
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability — in those jurisdictions, the limits above apply to the fullest extent permitted by law.
11. Assumption of Risk
By using the Platform, you acknowledge and assume the risks involved in interacting with blockchain-based systems, including:
- The inherent volatility of digital assets and the possibility of total loss
- The irreversibility of on-chain transactions
- Smart contract risk, including bugs, vulnerabilities, and unexpected behavior — even with audits in place
- Network congestion, gas spikes, and dependency on the Ethereum network
- Regulatory uncertainty and the possibility that laws affecting tokens, wallets, or blockchain participation may change
- The risk that some features may be limited, restricted, or unavailable in your jurisdiction
- Personal responsibility for your own decisions, security, and compliance with local law
You participate at your own risk.
12. Termination
Wadoozie reserves the right, at its sole discretion, to:
- Restrict, suspend, or terminate your access to the Platform
- Remove, hide, or modify content
- Block or ban users engaging in abuse, fraud, sybil activity, or violation of these Terms
- Withhold or revoke rewards in connection with such violations
Termination does not affect on-chain $WADZ holdings in your wallet. Termination does affect access to Platform features tied to participation, including publisher access, governance interfaces, and reward claim flows.
13. Changes to Terms
Wadoozie may update these Terms at any time. Material updates will be posted on this page with a revised "Last updated" date, and significant changes will be communicated through official channels.
Continued use of the Platform after an update constitutes acceptance of the revised Terms. If you do not agree to an update, stop using the Platform.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the United States and the State of [JURISDICTION TO BE FINALIZED], without regard to conflict-of-law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved through binding arbitration on an individual basis, except where prohibited by applicable law. You waive the right to participate in a class action, class arbitration, or representative proceeding to the fullest extent permitted by law.

15. Indemnification
You agree to indemnify, defend, and hold harmless Wadoozie, its affiliates, contributors, and team members from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any law or third-party right
- Content you submit through the Platform
16. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be made enforceable.
17. Entire Agreement
These Terms, together with the Privacy Policy, the Cookie Policy, and any other policies referenced on wadoozie.com, constitute the entire agreement between you and Wadoozie regarding the Platform. They supersede any prior agreements, communications, or understandings on the same subject matter.
